Scope
These Terms and Conditions (“Terms”) govern all agreements between medverse GmbH (“medverse”, “we”) and our business customers (“Customer”) regarding access to and use of our digital training solutions, software platform, simulations, analytics tools, and related services.
Services
Medverse provides digital training modules, interactive simulations, data insights, and cloud-based software services.
The exact scope of services is defined in the relevant service agreement, order form, or proposal.
Medverse may update or enhance services as part of continuous product development.
Access and Use
Customers receive a non-exclusive, non-transferable right to access and use the medverse platform and content for the duration of the contract.
Customers may not:
copy, modify, or redistribute content,
reverse engineer the platform,
use the services for unlawful purposes, or
sublicense access rights to third parties unless explicitly permitted.
Intellectual Property
All intellectual property rights in the platform, simulations, content, analytics, and materials remain with Medverse or our licensors.
Customers obtain only the rights explicitly defined in the agreement.
Data and Analytics
Medverse processes usage data to provide analytics, performance insights, and platform functionality. Customer data remains the property of the Customer. Medverse acts as a processor under applicable data protection laws unless otherwise agreed.
Service Availability
medverse will make commercially reasonable efforts to ensure high availability of its services. Temporary interruptions may occur due to maintenance, updates or third-party infrastructure.
Fees and Payment
Fees, billing cycles, and payment terms are defined in the applicable agreement or order form.
Liability
Medverse provides the service on a commercially reasonable, as-available basis. Medverse is liable only for damages caused by intentional misconduct or gross negligence.
Liability for indirect or consequential damages is excluded to the extent permitted by law.
Term and Termination
The term and termination rules follow the applicable service agreement. Upon termination, all access to the platform will be revoked, and Customer data will be handled according to the agreed data retention policy.
Changes to the Service or Terms
Medverse may modify or improve services or update these Terms. Customers will be informed of significant changes in advance.
Continued use of the platform constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of Germany.
The exclusive place of jurisdiction is Munich, Germany.
